Associate General Counsel – North America
Job Summary:
We are seeking a motivated legal professional to work out of our regional headquarters in the Atlanta (Duluth) metro area. Reporting to the General Counsel & Company Secretary based in Belgium, as a commercial generalist, this individual will advise and help guide business and functional leaders in the US and Canada on legal matters related to contract negotiations, compliance and intellectual property issues. The ideal candidate will have 5 to 10 years’ experience with an international company providing onsite corporate counsel in a fast paced, complex organizational structure. Must excel in customer delight with the ability to work closely with internal clients to ensure policy compliance while business needs are met.
Job Responsibilities:
- Draft, review, negotiate, extend, terminate, and renegotiate commercial contracts throughout North America
- Advise management on, and work to mitigate, contractual risk
- Monitor, improve, and update compliance programs related to government subcontracting, medical device sales, export compliance, US state privacy laws, and other areas relevant to Barco’s business in North America
- Assist with the drafting, revision, and administration of corporate policies
- Draft and maintain standard contract templates
- Act as first line of legal advice to US and Canada leadership team
- Advise on intellectual property matters, including licensing, patent claims and enforcement
- Hire and direct outside litigation counsel
- A wide range of other matters faced by an international company, such as corporate governance, real estate, M&A, insurance, L&E, trade and sanctions compliance
Qualifications:
- 5-10 years corporate legal experience, strong preference for in-house experience, ideally in the technology, medical devices or entertainment industries
- Must be able to effectively, persuasively, and diplomatically communicate at all levels of the organization, including C-level
- Must be able to demonstrate exposure to or a strong interest in international matters, including working with a diverse international legal team
- Strong experience reviewing, drafting and negotiating commercial contracts.
- Experience managing outside counsel; experience with patent litigation would be a significant asset
- Experience advising senior business leadership in legal, compliance, and/or ethical matters
- Attention to detail, creativity, and flexibility are key attributes for this position
- Ability to drive projects, multitask and meet deadlines with minimal supervision
- Willingness to perform responsibilities with little to no administrative support, sometimes outside of normal office hours
- Identify and resolve complex problems in a timely, decisive manner; use intuition and experience to make decisions
- Travel, including international, up to 5% - 10%
